Terms and Conditions for Website Development

1. Introduction
These Terms and Conditions (“Terms”) govern the provision of website design and development services by Bizzexpose (Pty) Ltd (“Bizzexpose,” “we,” “our,” or “us”) to the Client. By accepting our quotation or signing a contract, you (“the Client”) agree to be bound by these Terms.
2. Confidentiality & Intellectual Property

All documents and project materials provided by Bizzexpose remain confidential.

Bizzexpose retains full ownership and intellectual property rights to all code, designs, and content until full payment has been received.

The Client is granted a non-transferable, non-exclusive license to use the website once the final payment has been made in full.

Ownership of Web Pages and Graphics: All rights to photos, graphics, website themes, custom-built code, software, third-party licenses, and computer programs created or provided by Bizzexpose remain the sole property of Bizzexpose. These rights are not transferred to the Client under any circumstance unless otherwise agreed in writing. Bizzexpose and its subcontractors retain the right to display any and all designs, visuals, or elements created for the Client in their portfolio, marketing materials, or showcases.
3. Service Engagement & Payments

Services commence upon receipt of a 50% non-refundable deposit.

For projects valued at less than R25,000, full payment is required upfront and is non-refundable.

No work will begin without proof of payment.

Final payment is due upon project completion and before the website goes live or files are handed over.

All work remains the property of Bizzexpose until full payment is received.
-
No refunds will be issued for any completed work or paid deposits.
4. Client Responsibilities

The Client must provide all required content and materials (logos, images, written content, login credentials, etc.) within 3 calendar days from deposit.

Failure to submit all content within 10 days may result in a delay fee of 15% per month on the total project cost.

The Client must ensure that all submitted materials are original or legally licensed.

Content Collection: It is the Client’s responsibility to supply all website content (text, imagery, branding assets) in a clear and organized format. Bizzexpose will not begin development until sufficient content has been received. If content is delayed beyond the agreed timeframe, the project timeline will be extended accordingly, and additional holding fees may apply. If Bizzexpose is required to generate or source missing content, it will be billed separately at R650/hour (excl. VAT).

You must ensure that all content provided to us does not infringe upon the intellectual property rights, confidentiality, or privacy rights of others, and does not violate any laws. Bizzexpose will not be held liable for any claims or disputes resulting from the use of third-party content supplied by the Client.

5. Project Scope, Reverts, Changes, Additional Work & Requests

The agreed quotation includes scope of work, layout, and functionalities as per the brief.

Two (2) revision rounds are included in the initial quotation. A “revert” refers to a round of consolidated changes sent by the Client.
-
Reverts must be submitted in writing (via email or shared document) within two (2) business days of receiving draft work.
-
A single revert may include multiple small adjustments as long as they are submitted together.
-
Additional reverts beyond the included two rounds will be billed at R650/hour (excl. VAT).
-
Scope creep or requests for new functionality will require a separate quote and timeline.
-
Any material changes to the approved project scope (including new pages, integrations, layout shifts, or functional enhancements) will be treated as a “Project Change” and quoted separately.

A formal Change Request must be submitted in writing and approved by Bizzexpose before work begins.

All project changes will impact delivery timelines and cost, unless otherwise agreed in writing.

Additional Work: Any requests made outside the original scope, whether before or after final delivery, will be considered additional work. This includes, but is not limited to: copywriting, design changes, plugin configurations, new features, content uploads, speed optimization, SEO improvements, and email support. All additional work will be quoted for approval before commencement and billed at R650/hour (excl. VAT) unless otherwise stated in writing.

6. Review and Approval

Clients have 2 business days post-submission to approve or request minor changes.

Lack of feedback within this timeframe will be deemed approval.

Final handover includes website deployment and/or delivery of login credentials upon full payment.
7. Hosting & Domain Registration
7.0 Domain Ownership & Management
-
All domains registered by Bizzexpose on behalf of the Client remain the property of Bizzexpose until the full project and hosting payment has been received.
-
Upon full payment, domain ownership may be transferred to the Client upon request, subject to administrative procedures.
-
Bizzexpose will manage DNS, renewals, and configurations during the hosting period unless the Client provides alternate instructions.
-
The Client must notify Bizzexpose at least 30 days before domain expiry to initiate a transfer.
-
Domain fees are non-refundable and billed annually in advance.
7.1 Billing Terms

Hosting fees are payable upfront for 12 months or via debit order processed on the last working day of each month.
-
Clients who opt for monthly billing via debit order must ensure sufficient funds are available to avoid service disruption.

All hosting and domain-related services are billed in advance and are non-refundable.
7.1 Hosting with Bizzexpose -
Our hosting services do not include IT support, email troubleshooting, or website maintenance unless agreed to under a separate monthly contract.

Hosting services are provided as-is and are intended for standard business use, including website and email hosting.

Hosting packages come with a fixed allocation of disk space and monthly bandwidth. Overuse of these resources may result in additional charges, or service suspension until payment is made.

Clients are expected to ensure their websites do not contain malware, spam scripts, or any content that violates South African law or international best practices.

Bizzexpose reserves the right to suspend or terminate hosting services at any time, without refund, should the Client violate acceptable use policies, cause harm to server infrastructure, or jeopardize the integrity of other hosted clients.

It is the Client’s responsibility to maintain strong passwords and protect their credentials. Bizzexpose will not be held responsible for website compromises due to weak passwords or user negligence.
7.1 Hosting with Bizzexpose

Hosting fees are billed monthly or annually.
-
Non-payment after the 7th of the month will result in suspension of hosting and email services.
-
A R450 reactivation fee applies.
-
Non-payment for 2 consecutive months results in termination of hosting, with no recovery of files.
7.2 Third-Party Hosting
-
The Client is responsible for providing FTP, Cpanel, and other credentials.
-
Bizzexpose is not liable for loss, data corruption, or errors on third-party servers.
8. Maintenance & Technical Support
-
Unless a monthly maintenance package is signed, all support and updates are charged at R650/hour (excl. VAT).
-
Bug fixes caused by client CMS misuse or unauthorized third-party changes are billable.
-
Technical Support: Technical support includes assistance with minor fixes, website uptime issues, plugin errors, server or CMS configuration queries, and system functionality troubleshooting. Support is offered during standard business hours, Monday to Friday, excluding public holidays.

Emergency support outside of business hours is available at R1550/hour (excl. VAT) and subject to technician availability.

Support requests must be submitted via email to support@bizzexpose.co.za with clear descriptions of the issue, affected URL(s), and access credentials if needed.

Response time for standard support queries is 24–48 business hours depending on queue priority and SLA commitments.

Unless a monthly maintenance package is signed, all support and updates are charged at R650/hour (excl. VAT).

Bug fixes caused by client CMS misuse or unauthorized third-party changes are billable.
9. Email, Security & Backups

Bizzexpose does not manage email inboxes and is not responsible for lost emails or configuration on client devices.
-
Backups are the Client’s responsibility unless a plan is in place.
-
Bizzexpose is not liable for hacking, malware, or any form of data breach.
10. Cancellation Policy
-
If a Client cancels a project, all work completed up to that point will be invoiced and due immediately.
-
Deposits and hosting/domain payments are non-refundable.
-
Transfer of website or files to another host, closing account for billing, and debit order will incur a R650 admin fee.
11. Legal Disclaimers
-
The Client agrees to indemnify and hold Bizzexpose harmless against any claims, losses, or legal action related to content on the site.

The Client is responsible for compliance with all applicable e-commerce and data protection laws.
12. Portfolio Rights & Attribution

Bizzexpose reserves the right to showcase the final work in its portfolio.
-
A small footer credit (e.g., “Website Powered By Bizzexpose”) may appear unless otherwise requested in writing.
13. Jurisdiction
-
These terms shall be governed by South African law.
-
Any disputes shall be resolved in Durban, South Africa.
14. Third-Party Tools, CMS & Licensing
-
Third-party plugins, themes, and services used remain governed by their respective licenses.
-
Bizzexpose is not responsible for plugin failures, CMS vulnerabilities, or expired licenses.
15. Communication, Consultations & Retainer Hours
-
Free support via email or WhatsApp is limited to 30 minutes/month.
-
Meetings in person or via video will be billed if exceeding agreed project scope.
-
Retainer Hours: Clients with active retainer agreements are allocated a set number of support or development hours per month, as agreed in their retainer package. These hours can be used for updates, small development tasks, consulting, or content adjustments.

Unused hours do not roll over to the next month.
-
Work exceeding the monthly retainer limit will be billed at R650/hour (excl. VAT), with prior client approval.

A detailed time log will be maintained and shared with the client monthly.

Free support via email or WhatsApp is limited to 30 minutes/month.
-
Meetings in person or via video will be billed if exceeding agreed project scope.
